Terms of Service

These Terms govern your use of our website, products, services, installations and support. Please read clauses 13–16 carefully — they limit our liability and allocate risk.

1. About these Terms

These Terms of Service ("Terms") govern your use of the website, products, services, installations and support provided by Livesmart Realty NG Ltd. ("Livesmart", "we", "us", "our"), a company registered in Nigeria with registered office at Room 104, AHCN Towers, CIPM Avenue, Ikeja, Lagos, Nigeria.

By using our website, requesting a quotation, placing an order, or accepting an installation, you ("you", "the Customer", "the Client") agree to these Terms. Where you sign a separate quotation, proposal or installation contract with us, that document and these Terms apply together; if they conflict, the signed document prevails for that project.

Please read clauses 13 (Warranties), 14 (Important smart-home disclaimers), 15 (Limitation of liability) and 16 (Indemnity) carefully — they limit our liability and allocate risk to you.

2. Definitions

  • Services — surveys, design, supply, installation, integration, configuration, support, remote assistance and any monitoring or advisory services we provide.
  • Products — hardware, devices, equipment and software we supply or install (e.g. hubs, sensors, cameras, smart locks, voice assistants, networking and remote-access tooling).
  • Package — a defined service tier we offer (for example Bronze, Silver or Gold), as described in your quotation.
  • Third-Party Services — products, platforms, apps or networks owned by others that your system uses or connects to (e.g. voice-assistant providers, camera-manufacturer clouds, remote-access providers, internet and electricity supply).
  • Site — the premises where Products are installed.

3. The Services we provide

We design, supply, install, integrate, configure and support smart-home and property-technology systems, including resilience-focused, locally controlled setups suited to local power and connectivity conditions, and we offer these as Bronze, Silver and Gold packages or as custom builds. The exact scope, Products, Package and price for your project are set out in your quotation or proposal, which forms part of our agreement.

4. Eligibility

You must be at least 18 years old and able to enter a binding contract. If you order on behalf of a business or another person, you confirm you are authorised to do so.

5. Quotations, orders and how a contract is formed

  • Quotations are valid for 14 days unless stated otherwise and are based on the information and Site conditions known at the time.
  • A quotation is an invitation, not an offer. A binding contract forms when we accept your order in writing (including by email) or begin work, whichever is first.
  • We may decline or cancel an order before work begins, for example if a Product is unavailable, the Site is unsuitable, or pricing was clearly stated in error; in that case any payment you have made for undelivered items is refunded.

6. Prices, payment and taxes

  • Prices are in Nigerian Naira (₦) and, unless stated, exclude delivery, levies and applicable taxes.
  • Product prices can move with supplier pricing, exchange rates and availability. We will confirm the final price before you commit, and for long projects we may re-quote items not yet purchased if supplier prices change materially.
  • Unless agreed otherwise, payment terms are: a deposit on order to fund procurement, and the balance on completion/handover. Larger projects may be staged.
  • Title to Products passes to you only when we have received full payment; risk in Products passes to you on delivery to the Site.
  • Late payments may attract interest at an agreed monthly rate and may entitle us to pause work or withhold support until the account is settled.

7. Your responsibilities

To let us deliver on time and to standard, you agree to:

  • give safe, timely access to the Site and to the people and rooms involved;
  • ensure a suitable environment — including adequate, properly earthed mains power, structural suitability, and a working internet connection where the system needs one;
  • provide accurate information about the Site, your network and your requirements;
  • obtain any landlord, neighbour, body-corporate or regulatory permission needed for the installation;
  • keep account credentials we set up for you secure, and use cameras, microphones and locks lawfully and considerately; and
  • back up any data you care about before we work on existing equipment.

Delays or extra costs caused by inaccurate information, lack of access, or unsuitable Site conditions are not our responsibility and may be charged.

8. Installation and timelines

Any dates or durations we give are good-faith estimates, not guarantees. Installation timelines depend on Product availability, Site readiness, third-party supply, and local conditions including power and logistics. We will keep you informed of material delays and work to minimise them, but we are not liable for losses caused by delays outside our reasonable control (see clauses 15 and 17).

9. Third-Party Services and Products

Your system may rely on Third-Party Services and on Products made by others. You acknowledge that:

  • Third-Party Services are governed by their own terms and privacy policies, which you accept by using them;
  • features that depend on the internet, electricity, a third-party cloud or a manufacturer's continued support may change, degrade or stop if that third party changes its service, raises prices, or discontinues a product; and
  • we do not control and are not responsible for the acts, omissions, outages, security or pricing of Third-Party Services or third-party Products, although we will pass on the benefit of any manufacturer warranty and help you engage the manufacturer where we reasonably can.

10. Software, licences and updates

Some Products include third-party or open-source software licensed to you by its owner under separate terms. Where we supply our own configurations, scripts, documentation or tooling, we grant you a non-exclusive, non-transferable licence to use them on your own system only. Updates may be needed over time for security or compatibility; some are free and automatic, others (especially major upgrades or new third-party requirements) may be chargeable.

11. Intellectual property

All intellectual property in our website, designs, system architectures, configurations, documentation, methodologies, package definitions, branding and know-how remains ours (or our licensors'). Nothing in these Terms transfers ownership of it to you. You may not copy, resell, reverse-engineer, or use our proprietary designs or documentation to build or assist competing installations without our written consent. You retain ownership of your own content and of the data your system generates.

12. Acceptable use of our website

You agree not to misuse our website — for example by attempting to gain unauthorised access, introducing malicious code, scraping content, or infringing our or others' rights. We may suspend access for breach.

13. Warranties

  • We warrant that our installation workmanship will be carried out with reasonable skill and care, and we provide a workmanship warranty of 12 months from handover.
  • Products carry the manufacturer's warranty for their stated period; we will pass this through and assist with claims, but the manufacturer (not Livesmart) is responsible for honouring it.
  • Our warranties do not cover faults caused by: misuse, accident, neglect, unauthorised modification or repair by others, power surges or unstable supply, water or environmental damage, internet or Third-Party Service failure, consumables (e.g. batteries), or normal wear and tear.
  • Nothing in this clause removes the statutory rights you have as a consumer under Nigerian law, including the implied warranty of quality under the FCCPA, which we do not seek to exclude.

14. Important smart-home disclaimers

You acknowledge and agree that:

  • a smart-home or property-technology system is a convenience, automation and monitoring aid — not a guaranteed security, life-safety, fire, medical or emergency-response service — and it is not a substitute for insurance, professional alarm/response services, or your own vigilance;
  • the system depends on electricity, internet and Third-Party Services that can fail, and may not operate during power or connectivity outages (we design for resilience, but cannot guarantee uninterrupted operation);
  • cameras, sensors and locks can produce false alarms, miss events, or be defeated, and we do not guarantee that the system will prevent or detect any intrusion, loss, injury or damage; and
  • you are responsible for arranging appropriate insurance and for any independent monitoring or response service you require.

To the fullest extent the law allows, Livesmart is not liable for loss, injury, theft, damage or other harm arising because the system did not prevent, detect or respond to an event.

15. Limitation of liability

Nothing in these Terms limits or excludes our liability where it cannot lawfully be limited or excluded — including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for defective performance, or for any other liability that the FCCPA or other Nigerian law prevents us from excluding. Those liabilities remain fully in place.

Subject to that, and to the fullest extent permitted by law:

  • we are not liable for indirect, consequential, special or incidental loss, or for loss of profit, revenue, data, business, goodwill or anticipated savings;
  • we are not liable for loss arising from Third-Party Services, third-party Products, power or internet failure, force majeure, or your own breach of these Terms or misuse of the system; and
  • our total aggregate liability to you arising out of or in connection with a project, however it arises, is limited to the total amount you paid us for that project in the 12 months before the claim.

These limits reflect a fair allocation of risk given the price of the Services and the matters genuinely within and outside our control. We draw them to your attention before you commit, as required by the FCCPA.

16. Indemnity

You agree to indemnify us against reasonable losses and claims arising from your unlawful or improper use of the system (for example unlawful surveillance of others), your breach of these Terms, or your provision of inaccurate information — except to the extent the loss results from our own negligence or breach. This indemnity does not require you to assume liability for matters the FCCPA reserves to us.

17. Events outside our control (force majeure)

We are not liable for failure or delay caused by events beyond our reasonable control, including power-grid failure, internet or telecoms outages, supplier or import delays, currency restrictions, fire, flood, civil disruption, government action, or acts of God. If such an event continues for a prolonged period, either of us may end the affected part of the contract, and we will refund any payment for undelivered items.

18. Suspension, cancellation and termination

  • You may cancel an order before procurement begins for a full refund of amounts paid; after procurement begins, we may deduct the cost of Products already bought and work already done.
  • Your statutory rights to reject faulty Products or services under Nigerian consumer law are unaffected.
  • We may suspend or end the Services for non-payment, unsafe Site conditions, or serious breach of these Terms, on reasonable notice where practicable.
  • Termination does not affect rights or obligations already accrued.

19. Confidentiality

Each party will keep the other's non-public information confidential and use it only for the purposes of the agreement, except where disclosure is required by law.

20. Data protection

We handle personal data in line with our Privacy Policy, which forms part of these Terms. You are responsible for using any cameras, microphones, locks or logging features lawfully and for informing other occupants or visitors where the law requires.

21. Notices

Notices to us should go to hello@livesmart.ng or Room 104, AHCN Towers, CIPM Avenue, Ikeja, Lagos, Nigeria. Notices to you will go to the contact details in your order. Email is acceptable for routine notices.

22. Changes to these Terms

We may update these Terms from time to time; the version in force when you place an order applies to that order. Material changes to ongoing services will be notified to you in advance where reasonably possible.

23. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. We will try to resolve any dispute amicably first. If we cannot, the dispute will be subject to the exclusive jurisdiction of the courts of Lagos State. Nothing here prevents you from exercising your rights before the FCCPC, the NDPC, or another competent authority.

24. General

  • If any provision is found unenforceable, the rest remain in force.
  • We may assign or subcontract our obligations; you may not assign yours without our consent.
  • Our failure to enforce a term is not a waiver of it.
  • These Terms and your quotation are the entire agreement between us on their subject matter.
  • A person who is not a party to these Terms has no right to enforce them.
